Terms of Service

The agreement governing Muze accounts, connected platforms, MCP actions, subscriptions, and use of the service.

These Terms of Service ("Terms") are a legal agreement between you and Muze AI ("Muze," "we," "us," "our") governing your use of Muze CMO, including the web dashboard and the hosted Muze MCP server at backend.muzecmo.com/mcp. By creating an account, connecting an ad account, or using an API key, you agree to these Terms. If you are using Muze on behalf of a company, you represent that you are authorized to bind that company.

1. Agreement and Eligibility

You must be at least 18 years old and able to form a binding contract to use Muze CMO. You are responsible for the accuracy of the information you provide and for all activity under your account, including activity your connected AI assistant performs on your behalf. Keep your login credentials and API keys confidential; if you believe a key has been compromised, rotate it from the dashboard immediately.

Your account and its credentials are your responsibility. Keep your login credentials, API keys (mz_live_...), and OAuth grants confidential; anything done with them — in the dashboard, over the API, or by an AI assistant you connected — counts as activity under your account. Notify us promptly at hello@muzecmo.com if you believe a key or credential has been compromised; you can rotate API keys and revoke OAuth grants at any time.

2. The Service

Muze CMO has two connected surfaces:

  • The dashboard — a web application for connecting your Meta Ads, Google Ads, Amazon Ads, and Shopify accounts, viewing blended performance, and using Muze's analysis and creative-generation features.
  • The MCP connector — a hosted Model Context Protocol server that lets your own AI assistant (for example Claude, ChatGPT, or Cursor) read your marketing data and perform confirm-gated actions against your connected platforms. The MCP connector exposes the underlying advertising-platform APIs as tools; it is a passthrough surface and does not itself run Muze's AI analysis.

We may add, change, or remove features over time. We may also impose or adjust technical limits (such as rate limits and unit quotas) to keep the service reliable for everyone.

3. Your Ad Accounts

You own your advertising accounts and your relationship with each platform. Muze acts only as a tool you point at those accounts.

Platforms bill your ad spend directly. Meta, Google, and Amazon charge you for the media you buy under your own billing arrangements with them. Muze never pays for, fronts, or bills your ad spend. Muze charges you only software subscription fees for access to Muze CMO. Any money spent on advertising is spent under your own platform accounts, on budgets you set and activate.

You are responsible for maintaining your platform accounts in good standing and for keeping your connections authorized. If you disconnect a platform or revoke Muze's access, features that depend on that platform will stop working.

4. Agent Actions (Read This Carefully)

This section governs actions taken through your AI assistant via the Muze MCP server. It is the most important part of these Terms.

Actions taken through your AI assistant are your actions. When you connect an AI assistant to Muze over MCP and that assistant calls a Muze tool, it does so on your behalf, using your API key, against your accounts. For all purposes under these Terms, an action executed through the MCP connector is your action, exactly as if you had performed it yourself in the dashboard.

Write actions require your explicit confirmation. Every tool that changes something — creating a campaign, editing a budget, pausing or resuming, changing targeting, replacing an asset — is confirm-gated. The tool is first called in preview mode, which returns a description of exactly what would happen. Nothing is changed until the tool is called again with confirm=true. That confirmation is your instruction to proceed. By approving a confirm-gated action, you authorize and take responsibility for it.

Review previews before you confirm. You are responsible for reading the preview your assistant relays to you and for deciding whether to proceed. Do not confirm actions you do not understand. An AI assistant can make mistakes, misinterpret a request, or suggest a change you did not intend; the confirmation step exists so that a human decision stands between a suggestion and a live change.

Creations are staged paused and cannot spend until you activate them. Every campaign or ad created through the MCP connector is staged in a paused state. A paused object cannot spend money. Turning a created campaign or ad live — and therefore starting any ad spend — is a separate, deliberate step that only you can take. You are solely responsible for activating spend. Until you activate an object, it sits inert in your account at no media cost.

We are not liable for the outcomes of your confirmed actions or for your assistant's behavior. Muze does not guarantee that any action you confirm will improve performance, and Muze is not responsible for the results of actions you authorize. Likewise, the behavior of your AI assistant — what it suggests, how it interprets your instructions, and what it chooses to call — is governed by your agreement with that assistant's provider, not by Muze. Muze provides the tools and the safety gates; the decisions are yours and your assistant provider's.

5. Acceptable Use

You agree not to:

  • Create, run, or promote advertising that violates any platform's policies or applicable law, including deceptive, infringing, or prohibited content.
  • Resell, sublicense, or provide access to the Muze MCP server or your API keys to third parties, or operate Muze as a service for others, except as expressly permitted by your plan.
  • Circumvent, disable, or attempt to work around rate limits, unit quotas, tier restrictions, or the confirmation gates on write actions.
  • Reverse engineer, scrape, or overload the service, or use it to build a competing product from our non-public interfaces.
  • Use the service to violate the rights of any person or to process data you are not authorized to process.

We may suspend or terminate accounts that violate this section.

6. Fees and Billing

Plans and quotas. Muze CMO MCP access is offered on tiered plans metered by monthly tool-units:

  • mcp_free — 25 tool-units per month, read-only access.
  • mcp_starter — $29 per month, 400 tool-units.
  • mcp_pro — $99 per month, 2,500 tool-units.

Different tools consume different unit weights based on their cost. When you reach your monthly unit quota, further metered calls are blocked until the next cycle or until you upgrade. The free tier can read data but cannot perform write actions. Dashboard application plans are billed separately from MCP plans.

Payment. Paid plans are billed monthly in advance through our payment processor, Stripe. By subscribing, you authorize recurring charges to your payment method until you cancel.

Upgrades, downgrades, and cancellation. You can upgrade, downgrade, or cancel from your account settings. Upgrades take effect promptly; downgrades and cancellations take effect at the end of the current billing period, and you keep access until then.

Consumed units. Tool-units are consumed as they are used and are not refundable once consumed.

Refunds. Subscription fees are billed in advance and are non-refundable, including for partial billing periods and for any time remaining after you cancel or downgrade. Consumed tool-units are non-refundable, as stated above. If you believe you have been charged in error, contact us at hello@muzecmo.com within 30 days of the charge and we will review it in good faith.

Taxes, where applicable, are your responsibility unless we state otherwise.

7. Platform Terms Passthrough

Muze CMO sits on top of third-party platforms. Your use of those platforms through Muze is also subject to each platform's own terms, and you must comply with them:

  • Meta — the Meta Platform Terms and Advertising Standards.
  • Google — the Google Ads Terms and policies.
  • Amazon — the Amazon Ads agreement and acceptable-use policies.
  • Shopify — the Shopify API License and Terms of Use, including Protected Customer Data requirements.

If a platform changes its terms, suspends your account, or restricts an API, Muze's ability to provide the corresponding features may change or stop, and that is outside our control.

Meta, Google, Amazon, Shopify, Anthropic, OpenAI, and Cursor are trademarks of their respective owners. Muze is an independent product and is not endorsed by, sponsored by, or affiliated with any advertising platform or AI assistant provider.

8. Intellectual Property

Muze retains all rights to the Muze CMO software, dashboard, MCP server, documentation, and brand. We grant you a limited, non-exclusive, non-transferable right to use the service under these Terms.

You retain all rights to your data — your account information, advertising data, store data, and the campaigns and creatives you produce. You grant Muze the limited license needed to host, process, and display that data solely to provide the service to you, and to send data to the subprocessors described in our Privacy Policy for that same purpose. Creatives generated for you through the product are yours to use in your advertising.

9. Disclaimers

The service is provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee advertising performance. Nothing in Muze CMO is a promise that your campaigns will perform, convert, or achieve any particular return. Advertising results depend on many factors outside our control.

Metrics come from the platforms. Performance figures shown in Muze — spend, conversions, ROAS, and the like — originate from the Meta, Google, Amazon, and Shopify APIs. Those numbers may be delayed, restated, or corrected by the platforms, and may not exactly match what you see in each platform's native interface. You should not rely on Muze figures as the sole basis for financial decisions without verifying against the platforms.

10. Limitation of Liability

To the maximum extent permitted by law, Muze will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost ad spend, or lost data, arising out of or relating to your use of the service — even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, Muze's total aggregate liability for any claim arising out of or relating to the service or these Terms will not exceed the total fees you paid to Muze in the twelve (12) months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Muze and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of: (a) your use of the service; (b) actions you or your AI assistant confirmed and executed through the MCP connector; (c) the advertising you create, run, or activate; or (d) your violation of these Terms, applicable law, or any platform's terms.

12. Termination

You may stop using Muze CMO and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law or a platform, or to protect the service or other users. On termination, your right to use the service ends and we will handle your data as described in the Privacy Policy. Sections that by their nature should survive termination — including fees owed, disclaimers, limitation of liability, and indemnification — will survive.

13. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules, and the parties submit to the state and federal courts located in San Francisco, California for any dispute not otherwise subject to an agreed dispute-resolution process.

14. Changes to These Terms

We may update these Terms as the product or the law changes. When we make a material change, we will update the "last updated" date above and, where appropriate, notify you. Your continued use of Muze CMO after an update means you accept the revised Terms.
